Welcome to our website at www.gpairconditioning.co.uk. This website is owned by and operated on behalf of GP Refrigeration & Air Conditioning Limited, registered office at 34 Grange Road, Oxfordshire, Oxford OX4 4LS (hereinafter referred to as 'we', or 'us').
These Terms and Conditions apply to your use of this website including any orders placed online, via the telephone and email as well as purchase order forms submitted by credit account customers. Please read these terms carefully before using this website. Using this website indicates that you fully accept these terms.
1. Definitions and Interpretation
In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:
“Business Day” means, any day other than a Saturday, Sunday or bank holiday;
“Calendar Day” means any day of the year;
“Agreement” means the Agreement for the purchase and sale of Goods, as explained in Clause 2;
“Goods” means the goods which are to be supplied by us to you as specified in your Order (and confirmed in our order confirmation);
“Month” means a calendar month;
“Price” means the price payable for the Goods;
“Special Price” means a special offer price payable for Goods which we may offer from time to time;
“Order” means your order for the Goods;
“Order Confirmation” means our acceptance and confirmation of your Order;
“We/Us/Our” means GP Refrigeration & Air Conditioning Ltd, a company registered in England under company number 8120891, registered address at 34 Grange road, Oxfordshire, Oxford OX4 4LS.
Each reference to “writing” and any similar expression in these Terms and Conditions includes electronic communication whether sent by e-mail, text message, or other means.
2. The Agreement
These Terms and Conditions govern the sale of goods by us and will form the basis of the Agreement between us and you. Please ensure that you have read these Terms and Conditions carefully before placing an Order.
3. Description and Specification of Goods
We have made every reasonable effort to ensure that the Goods conform to illustrations, photographs and descriptions provided in our sales and marketing literature as well as descriptions provided by our sales agents. We cannot, however, guarantee that all descriptions, illustrations and/or photographs will be precisely accurate due to discrepancies that may arise during the printing process and/or differences in colour reproduction of electronic displays.
If we notice or are made aware of any typographical, clerical or other accidental errors or omissions in any sales and marketing literature, price lists or any other documents we will make every reasonable effort to correct such errors or omissions as soon as is reasonably possible.
We reserve the right to make any chances in the specification of the Goods that may be required to conform to any applicable safety or other legal or regulatory requirements without notice.
5. Price and Payment
The price of the Goods is the price shown in our price list that is valid at the time of your Order. If the price shown in your Order differs from our current price we will inform you upon receipt of your Order.
Our prices may change at any time.
We have made every reasonable effort to ensure that prices shown in our current price list are correct. The prices will be checked when we process your Order. If the actual price of the Goods is lower than that stated in your Order, you will be charged the lower price . If the actual price of the Goods is higher than that stated in your Order, we will ask you how you wish to proceed.
All prices quoted are exclusive of VAT.

All payments for Goods must be made in advance before we can despatch the Goods to you.
We accept the payment via PayPal, Bank Transfer, Card payment or Card payment by Phone.
Credit and/or debit cards will not be charged until we despatch the Goods to you.
All Air Conditioning Systems sold by www.gpairconditioning.co.uk have a Manufacturer's Warranty. Customers should contact the Manufacturer directly to request further information regarding the available manufacturer's warranty.
Warranty will become void if the system has not been installed by a fully licensed and qualified engineer or if it has not been installed according to the manufacturer’s specifications. Under these circumstances the customer will be liable to cover any service repair costs. Also our guarantee does not cover any defects in the Goods caused by:
Deliberate damage and/or misuse of the Goods;
Failure to use the Goods in accordance with their instructions;
Alteration or repair of Goods carried out by you or any third party that is not qualified.
The manufacturer’s Warranty exists in addition to your legal consumer rights (that the Goods match our description, that they are of satisfactory quality and that they are fit for purpose).
7. Our Liability
We will accept responsibility for any foreseeable loss or damage that you may suffer as a result of us breaching these Terms and Conditions or as a result of our negligence. Loss or damage is foreseeable if it is an obvious consequence of our breach or negligence, or if it is contemplated by you and us when the Contract is being drawn up. We will not be responsible for any loss or damage that is not foreseeable.
8. Events Outside of Our Control (Force Majeure)
We will not be liable for any failure or delay in performing our obligations where that failure or delay results from any cause that is beyond our reasonable control. Such causes include, but are not limited to power failure, internet service provider failure, industrial action, civil unrest, fire, explosion, flood, storms, earthquakes, subsidence, acts of terrorism, acts of war, governmental action, epidemic or other natural disaster, or any other event that is beyond our control.
If any event described under this Clause occurs that is likely to adversely affect our performance of any of our obligations under these Terms and Conditions:
We will inform you as soon as it is reasonably possible;
We will inform you when the event outside of our control is over and provide details of any new dates, times or availability of the Goods

10. Complaints and Feedback
We always welcome feedback from our customers. We always put our best effort to ensure that our service is of excellent standard and we hope that your experience with us has been positive. Nevertheless, want to hear from you if you have any cause for complaint.

11. Governing Law and Jurisdiction
These Terms and Conditions (and the Contract) (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by and construed in accordance with the laws of England and Wales.
Any dispute, controversy, proceedings or claim between us and you relating to these Terms and Conditions (or the Contract) (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the non-exclusive jurisdiction of the courts of England and Wales.
